Exisiting Bylaws

ARTICLE I

Title and Object


Section 1.This organization is known as the “West Barnstable Civic Association” hereafter referred to as the “Association”.


Section 2.Its objectives are to represent the people of West Barnstable in working for the betterment of the community, to foster and promote communication and to perpetuate good relationships with town officials, other village and civic associations and residents of the Town of Barnstable.

ARTICLE II

Officers and Directors


Section 1.The officers of the Association shall be the President, Vice-President, Treasurer, Recording Secretary and Corresponding Secretary.


Section 2.The Board of Directors shall include each of the officers, plus ten directors.  The directors shall include nine elected directors and the immediate past president.  The current duly elected Town Council member(s) representing voters of the village of West Barnstable shall be included as ex-officio members of the Board.  All members of the Board of Directors shall be dues paying residents of West Barnstable.


Section 3.a.)  It is recommended that the Board meet monthly.

Special meetings of the Board may be called at any time with two weeks notice by the President or by any three members of the Board.

Exceptions may be made in emergency situations.


Section 4.At the Annual Meeting, officers and directors shall be elected for a one-year term.  The immediate past president shall serve as a director as long as his or her successor serves as president.  A nominating committee appointed by the Board of Directors shall propose candidates for officers and directors.  Additional candidates may be nominated from the floor.


Section 5.a.)  Any vacancy occurring during the year among the officers or directors shall be filled by a majority vote of the Board members present at a Board meeting.  Any officer or director so elected shall serve until the next annual election.

b.)  Any director may be replaced by a vote of the Board after three unexplained absences.


Section 6. The Board of Directors shall manage the affairs of the Association in compliance with these Bylaws.   The Board may create committees of the Association as needed. The Board of Directors shall respond and act in a timely manner to reports and requests received from committees and members.


Section 7.The duties of the officers shall be:

    The President shall preside at all meetings of the Association and of the Board of Directors and shall                        

                perform such other duties as the Board may authorize or request.

    The Vice-President shall act as President in the absence of the President,

                shall be the liaison between the Association and other organizations as directed by the            

                President, and shall have such other duties as the President or Board may prescribe.

    The Treasurer shall collect, keep and invest all funds of the Association and disburse them under    

                direction of the Board shall keep the financial accounts of the Association and a record of the    

                names and addresses of the dues-paying members, shall report verbally at each meeting of the    

                Association concerning all receipts, expenditures and financial balance, and shall submit a    

                written financial statement to the members at general meetings.

    The Recording Secretary shall keep a record of the proceedings of the Association and the Board;

                shall be the custodian of the Association’s pertinent records and shall, upon leaving the    

                position, transfer the Association’s records to the incoming Recording Secretary or presiding    

                President.

    The Corresponding Secretary shall mail to the dues-paying members advance notice of the meetings    

                of the Association, shall notify the officers and directors of meetings of the Board,

                shall attend to the correspondence of the Association, including notices to Town officials, and

                when appropriate, notify the public through available media, including newspapers, radio,        

                television and posters regarding meetings to be held or regarding action taken by the    

                Association or the Board.


ARTICLE III

General Meetings


Section 1.Regular general meetings of the Association shall be held in January, May and October.  The Board of Directors shall determine the dates and agenda for the general meetings.  The Annual Election and Meeting shall be held at the January meeting.


Section 2.The President may call special meetings of the Association at any time with two weeks notice.  Exceptions may be made in emergency situations.


Section 3.A quorum, which shall consist of at least sixteen members, must be present at any general meeting of the Association at which business is transacted or a vote taken committing the Association to any proposal or action.  A majority vote of the quorum present shall be required for the transaction of any business.  Without a quorum, meetings may be held at which a program may be presented or the members may engage in discussion of matters of Association interest.


Section 4.It is recommended that each meeting of the Association consist of three parts:

                                    business

                                    guest or program

                                    social period


ARTICLE IV

Membership and Dues


Section 1.The membership of the Association is open to all voters, residents, and taxpayers of West Barnstable, as defined by the boundaries of the West Barnstable Fire District.  Associate membership is also open to non-residents of West Barnstable as non-voting members.  We encourage all West Barnstable villagers to join and participate as dues paying members. 


Section 2.Individual dues shall be $10.00 per year due at the January Annual Meeting.


ARTICLE V

Amendments


These Bylaws may be amended at any meeting of the Association.  A successful amendment shall require two-thirds vote of a quorum, for which this purpose shall consist of at least thirty members present.  Two weeks’ notice of the substance of any proposed amendment shall be given to the members before the meeting.
